The Dick Smith Group of Companies (“the Group”) and DSE Holdings Pty Ltd as Trustee have entered into a Deed of Cross Guarantee dated 7 January 2014 (as amended from time to time) (Deed of Cross Guarantee) pursuant to ASIC Class Order CO 98/1418.
Under the Deed of Cross Guarantee if any company in the Group is wound up, then the other companies in the Group also guarantee the repayment of the amounts owed to the creditors of that company. The effect of this is that creditors owed amounts by one company in the Group can also participate and vote as contingent creditors of all the other companies which are parties to the Deed of Cross Guarantee.
Given this I will be permitting creditors who lodge a proof of debt in respect of a debt owed to them by one company in the Group to also participate and vote as contingent creditors of all the other companies which are parties to the Deed of Cross Guarantee. Creditors will not be required to lodge a second proof of debt to do so.
The Receivers and Managers have indicated that Gift Cards issued by the company prior to their appointment cannot be honoured by the Receivers. As a result, affected parties may (subject to other remedies available to them) have a claim as unsecured creditors of the company. For the purposes of the First Meetings of Creditors scheduled for 10am (Mac 1 Pty Limited) and 12pm (all other entities) on Thursday, 14 January 2016, the Administrators are prepared to admit those claims for voting purposes. To register a claim as an unsecured creditor for a gift card or a store credit obtained prior to 4th of January, you must submit a duly completed Proof of debt form to Link Market Services by the cut off at 12pm on the 13th of January. The Receivers and Managers have indicated that they will be completing sales where deposits have been received subject to stock available.
The Receivers and Managers have indicated that exchanges will be accepted provided that you have a receipt, the product has not been used and it is in its original packaging.
Faulty Goods policy will continue in accordance with the existing store policy for goods purchased on or after 5 January 2016. For goods purchased prior to 5 January 2015 that are branded products, please contact the manufacturer directly. For goods purchased prior to 5 January 2015 that are Dick Smith branded, please complete a proof of debt form, available above in the “Creditor information”
